The Board of Directors of Episurf withdraws the proposal for a resolution on the approval of a transaction between a subsidiary and a related party

Episurf Medical AB (“Episurf” or the “Company“) announces that the Board of Directors has resolved to withdraw the proposal for a resolution on the approval of a related-party transaction between a subsidiary and a related party from the agenda of the Extraordinary General Meeting to be held on Thursday, 12 November 2026.

The Board of Directors’ proposal for a resolution at the Extraordinary General Meeting concerned the approval of Episurf’s subsidiary Frusipe Intressenter Target 1 AB (the “Subsidiary“) accepting a contemplated tender offer from Ilija Batljan Invest AB (publ) (“IBI“) in respect of bonds issued by IBI with ISIN SE0016101810 (the “Bonds“). The Subsidiary holds Bonds with a nominal value amounting to SEK 332,500,000.

The withdrawn proposal constituted item 9 on the agenda set out in the notice convening the Extraordinary General Meeting to be held on 12 November 2026. The other proposed resolutions on the agenda remain unchanged, and the Extraordinary General Meeting will otherwise be held in accordance with the notice convening the Extraordinary General Meeting published by the Company on 12 October 2026.

– Following an overall assessment, the Board of Directors has concluded that it is more advantageous for Episurf and its shareholders not to carry out the transaction in the manner originally proposed. The Subsidiary will therefore retain the Bonds, which we consider places the Company in a better position than accepting the tender offer on the terms available. We will continue to manage the holding based on what creates the most value for the Company, says Jens Andersson, CEO of Episurf.
